4.2 Client Responsibilities
Clients are responsible for:
Providing accurate and complete content, designs, or materials for their advertisements.
Reviewing and approving advertisement designs prior to installation.
Ensuring that submitted content complies with applicable laws, including advertising regulations.
4.3 Modifications
We reserve the right to reject, edit, or remove content that violates these Terms, is inappropriate, or is inconsistent with our brand standards.
5. Payment Terms
5.1 Fees
Payment terms, including setup costs and monthly fees, are outlined in the service agreement.
Payments must be made in full by the due date specified in the invoice.
5.2 Late Payments
Late payments may incur a late fee of 1.5% per month or the highest amount permitted by law.
5.3 Refund Policy
Fees paid are non-refundable unless explicitly stated otherwise in your service agreement.
6. Intellectual Property
6.1 Ownership
CityBox Ads retains all rights, title, and interest in the content and materials we create, including advertisement designs and intellectual property developed during the course of service.
6.2 License
Clients grant CityBox Ads a non-exclusive, royalty-free license to use their logos, trademarks, and branding solely for fulfilling the agreed-upon advertising services.
7. Limitation of Liability
To the fullest extent permitted by law:
CityBox Ads is not liable for indirect, incidental, or consequential damages arising from your use of our services.
Our total liability for any claims related to our services is limited to the amount paid by you to CityBox Ads in the preceding 12 months.

You agree to indemnify, defend, and hold harmless CityBox Ads, its affiliates, and its employees from any claims, liabilities, damages, losses, or expenses arising from:

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising from these Terms or our services will be resolved in the courts located in Austin, Texas.
